RE. Proposed HUGE Changes to Covenants and Bylaws.
I'm writing as a concerned member and as a volunteer who put lot of time serving on the BoD as a Secretary.
What's the rush !!!
Why the BoD decided to push a vote on the HUGE changes with a decision required within about 5 weeks time and with Just a 3 Weeks deadline Ahead of AGM?
What's wrong with an open discussion?
Yes. It takes time. But don't Snowline members deserve The Time?
While the zoom meeting was a nice thing;
it Does Not Replace the actual Face to Face conversation that AGM would have provided.
And Repeat. HUGE CHANGES require a proper, throughout DISCUSSIONS; and this process NORMALLY takes time.
2. The zoom info meeting was great. But I failed to notice any explanation how the proposed Governing Documents Changes would benefit ALL Snowline members
3. My QUESTION is: Is this Vote by Ballot even VALID?
According to Bylaws 2019 that is the current governing document:
The Voting procedure is described in sections 4.8.
4.8.4 states the vote take place at the meeting
4.8.5 says : Additional procedure require BoD RESOLUTION.
There was no published BoD Resolution.
Therefore the Vote for amended Bylaws SHOULD belong to the AGM or SGM Agenda. In my opinion.

While the informational meeting with the lawyer was good, there was no real direct interaction with the board on reasoning behind their proposals. That's why this should be done at a real meeting where the board has to properly make their case. Not hiding behind a lawyer.
